The following sets out the Terms and Conditions for Memecounter.com and the services supplied by The System. Your use of The System constitutes your acknowledgement and acceptance of these Terms and Conditions with effect from your first usage of The System. We reserve the right to change these Terms and Conditions at any time by posting changes on Our Site, it is your responsibility to refer to and comply with these terms. Your continued use of The System after changes are posted constitutes your acceptance of these terms and conditions as modified.

If you unable to accept these Terms and Conditions in full, you do not have permission to access The System and the services provided by it and should therefore cease any and all use of The System immediately.

"The System" refers to MemeCounter, a suite of web based traffic analytics software designed predominantly, but not exclusively, to provide usage information or analytics for distributed multimedia and aid in the promotion of such content.

"Our Site" refers to memecounter.com and any other domain or sub domain that we choose to point to the content held there.

"Service/s" refers to the software facilities provided to you by MemeCounter.com, its owner and operator.

"Campaign" A campaign refers to a uniquely identifiable piece of online content, video or multimedia that may be distributed around the internet and hosted on a number of different websites.

"The Operator" MemeCounter and it component Services are owned and operated by Kempt Ltd, Registered in the UK, Company number 4725387 Registered office - 3 College Street, St Albans, Hertfordshire AL3 4PW

All services provided to you by The System are provided under a limited, revocable, non-exclusive, license. Under this licence you are permitted to use the software or code provided to you solely as directed by the system and as necessary to utilise the Services provided by it. This licence and your use the System or any Services provided by it conditional to your compliance with, and acceptance of, these terms and conditions.

As part of this licence you agree not to modify, reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code of The System except as expressly permitted by the law in the governing jurisdiction. Nor will you for any reason use, post, transmit or introduce any device, software or routine which interferes or attempts to interfere with the operation of the Service or the Software.

This Licence in non-transferable, except with our express written permission and will terminate immediately if you fail to comply with these terms.

Unless otherwise stated, each service provided and its associated fee if any provides you with the ability to use the service with a single Campaign or piece of content, although it is permissible to use the Services to track subtle variations of a piece of content, for example a multi-language game, any use of the services that abuses this flexibility will result in immediate termination of the services concerned.

The Operators reserve the right to suspend or cancel the access to The Service without notice if they deem that the Campaign or the use of the Services is in any way unacceptable.

The System (and it’s component Services) does not collect information that is personally identifiable to internet users. By using The System, you agree not to (and not allow any third party to) use the Service to track or collect personally identifiable information of Internet users. As part of your use of the system it is your responsibility to comply with any and all applicable laws that relate to the collection of information from internet users and if required you must post a privacy policy that provides notice of your use of software that collects anonymous traffic data.

Any and all data collected by The System remains the property of The Operator.

Unless otherwise required by law, with your express permission, or through your own use of the data-sharing facilities provided by The System. All data collected by The System from your campaigns will be treated as confidential. However, subject to this confidentiality, by using our Services you agree that we may utilise this data in any other manner that does not identify the data to its source. Such uses include (but are not limited to) the publication of directories of sites, the generation of statistics about the system, benchmarking, and general analysis of trends or usage patterns within groups of campaigns.

The System is provided on an "as is" and "as available" basis and therefore you agree to hold us harmless and indemnify us against all claims or liability for damages, direct or consequential, resulting from your use of the service. You agree that it is your responsibility to determine that the service is of use and fit for purpose, and we accept no liability for loss of service or data loss of any kind.

All logos, trademarks, software, databases and reports connected with The Service are the property of The Operator. Upon termination of this agreement you agree to cease use of any intellectual property relating to the service.

Either party to this agreement may terminate any and all Services covered by this agreement at any time and for any reason, Upon termination or expiration of any Service we will cease to provide the Service and You agree to delete all copies of code provided by MemeCounter in order to supply the service. In the event of the termination of any service supplied under this agreement you will not be entitled to any refund and you agree to pay any or all unpaid usage fees immediately. Any report data collected by MemeCounter via your usage of the system will no longer be available to you unless a separate agreement for the transfer of such data is entered into as part of such a termination process.

Your use of The System and any dispute arising out of such use is subject to the laws of England and Wales.
